When one or more of the parties fails to perform or deliver as agreed, this results in breach of contract.  If negotiations fail to resolve the dispute, the injured party may sue for breach of contract.  Their claim or lawsuit must be filed before the statute of limitations expires, which in New York is four years from the date of the cause of action.  Courts may order compensation such as liquidated damages or punitive damages.
